CATALYSTA: Terms and Conditions
1. Definitions:

"Client": The individual or business engaging CATALYSTA for Services.

"CATALYSTA": CATALYSTA, located in Sanford, North Carolina, providing web design, CRM integration, virtual assistance, and branding services.

"Services": The specific services outlined in the Client's chosen package or proposal.

"Project": The undertaking by CATALYSTA to provide the agreed-upon Services.
-
"Content": All text, images, videos, and other materials provided by the Client.
2. Scope of Services:

CATALYSTA will provide the Services as outlined in the Client's selected package or customized proposal.

Any Services not explicitly stated in the package or proposal are excluded.

The Project timeline and milestones will be agreed upon in writing.
3. Payment Terms:

A fifty percent (50%) deposit is required before the commencement of the Project.

Milestone payments will be invoiced upon completion of agreed-upon deliverables.

The final payment is due upon completion and approval of the Project.

Late payments will incur a 5% late fee every 30 days that the payment is late.

Prices are exclusive of applicable taxes unless otherwise stated.

4. Client Responsibilities:

The Client will provide timely and accurate Content and information.

The Client will approve designs and Content within agreed-upon deadlines.

The Client will provide necessary access to accounts and systems.

The Client will maintain regular communication with CATALYSTA.
5. Intellectual Property:

Upon full payment, the Client owns the final website design, CRM configuration, and branding materials.

CATALYSTA retains the right to showcase the Project in its portfolio.

Licensing restrictions will be stated for any stock images, or other licensed content.
6. Confidentiality:

Both parties agree to maintain the confidentiality of sensitive information.
7. Termination:

Either party may terminate the agreement with [Number] days written notice.

Cancellation fees or refunds will be determined based on the stage of the Project.

Upon termination, CATALYSTA will provide the Client with all completed files and access.
8. Limitation of Liability:

CATALYSTA is not liable for issues caused by third party software.
9. Warranty:

CATALYSTA warrants that the website and CRM will function as specified for 60 days after completion.

This warranty does not cover issues caused by Client modifications or third-party software.
10. Revisions and Changes:

The Client is entitled to three (3) revisions within the agreed-upon scope of the Project.

Additional revisions or changes outside the scope of the agreement will incur additional fees.
11. Virtual Assistant Terms (if applicable):

Virtual assistant services will be provided as specified in the package or agreement.

The number of hours included in the package will be clearly stated.

Communication will be conducted via email or chat.
-
Data will be secured using industry best practices.
12. Governing Law:

This agreement is governed by the laws of the State of North Carolina.

Any disputes will be resolved in the courts of Lee County, North Carolina.
13. Entire Agreement:

These terms and conditions constitute the entire agreement between the parties.
14. Force Majeure:

Neither party is liable for delays or failures due to circumstances beyond their control.
